Confidentiality and Non-disclosure agreements

All manner of commercial deals can involve the disclosure of confidential and commercially sensitive information.  This may involve commercial negotiations about a new distribution network, disclosure of preliminary details for a research and development agreement or granting a consultant access to your IT system to assess a work scope for IT consultancy services.  Whenever you make commercially sensitive information available to a third party, you should carefully consider whether a confidentiality and non-disclosure agreement is required, especially in circumstances where discussions are at an early stage and a more formal contract is not yet in place.
